GoTalk Open Beta Test Agreement

Clicking the "I accept" button on the bottom of this page starts doanloading GoTalk Beta Software.

Please read below Agreement before you download GoTalk Beta for testing. If you are 18 years old or younger, please ask your parent to read and agree. DO NOT DOWNLOAD GOTALK BETA IF YOU DO NOT AGREE.

GoTalk is currently in BETA stage. What does that mean?

It simply means that itfs not entirely complete. It also means that some features may be missing, not working correctly, graphics may be placeholder and there may be bugs. It also means that by downloading you will participate in this software's BETA testing process.

Since this is a BETA, you have some responsibility. What!?

If you download GoTalk BETA, it means you agree to take part in this beta test so we wish that you report errors, bugs, problems or other ideas that you might have with the Software to us. Please use the GoTalk Open Beta Test Report Form. However, do NOT submit known bugs or problems already listed on the Debugging Progress page.

By downloading GoTalk BETA you expressly understand and agree to the following:

GoTalk is provided on an "as is" and "as available" basis. Their creator, Agilingua and distributor cannot be held responsible for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, loss of data, profits, goodwill, use or other intangible losses, resulting from the use of the GoTalk website, anything downloaded or received from the GoTalk website or use of GoTalk.

If you do not agree with this disclaimer or these terms, do NOT download the Software.

GoTalk Open BETA Testing Agreement

Duration:
December 22 2008- January 17, 2009 (may change with notice)

1. Agilingua grants to Tester a non-exclusive, non-transferable license to use the Software on a single computer belonging to Tester solely for Beta testing. The Beta GoTalk can be updated to product GoTalk on its product release date and Tester can keep using it.

2. In consideration for receiving a copy of the Software for testing, Tester agrees to serve as a "Beta Site" for the Software and will notify Agilingua of all problems and ideas for enhancements which come to Tester's attention during the period of this Agreement, and hereby assigns to Agilingua all right, title and interest to such enhancements and all property rights therein including without limitation all patent, copyright, trade secret, mask work, trademark, moral right or other intellectual property rights.

3. Tester agrees that Software is the sole property of Agilingua until it is officially released and includes valuable trade secrets of Agilingua. Tester will not without the express written authorization of Agilingua:
3.1 copy, sell or market Software to any third party; or
3.2 modify, reuse, disassemble, decompile, reverse engineer or otherwise translate Software or any portion thereof.

4. Software is prerelease code and is not at the level of performance or compatibility of a final, generally available product offering. Software may not operate correctly and may be substantially modified prior to first commercial shipment, or withdrawn. Software is provided "AS IS" without warranty of any kind. The entire risk arising out of the use or performance of Software remains with Tester. In no event shall Agilingua be liable for any damage whatsoever arising out of the use of or inability to use Software, even if Agilingua has been advised of the possibility of such damages.

5. This License Agreement shall be governed, construed and enforced in accordance with the laws of the United States of America and of the State of New York. Any notice required by this Agreement shall be given by email or prepaid, first class, certified mail, return receipt requested to above address or such other address as may be given from time to time under the terms of this notice provision.

6. Tester shall comply with all applicable federal, state and local laws, regulations, and ordinances in connection with its activities pursuant to this Agreement.

7. Failure of Agilingua to enforce a right under this Agreement shall not act as a waiver of that right or the ability to later assert that right relative to the particular situation involved.

8. If any provision of this Agreement shall be found by a court to be void, invalid or unenforceable, the same shall be reformed to comply with applicable law or stricken if not so conformable, so as not to affect the validity or enforceability of this Agreement.
